A One Person Company (OPC) is a form of proprietorship in which a single individual establishes the company. The registration process for a One Person Company is straightforward and not complicated.
A One Person Company (OPC) is the latest form of business entity in India, introduced under the Companies Act of 2013. It was designed to facilitate the incorporation of micro businesses by individual entrepreneurs, allowing them to operate without partners. The registration process for an OPC is straightforward and aligns with the provisions of the Companies Act 2013. This structure encourages more individuals to pursue their entrepreneurial ambitions. An OPC is particularly suitable for small businesses with an annual turnover of up to Rs 2 Crore.

Documentation is crucial for OPC registration. The primary documents required from the promoters include ID proof, PAN, and address proof. Additionally, utility bills (such as water, electricity, or telephone bills) must be submitted as proof of the registered address, along with a No Objection Certificate (NOC) from the owner of the premises.
The name of the One Person Company must be unique and should not infringe upon the name of any existing company or trademark.
Under the Information Technology Act, a Digital Signature Certificate (DSC) is equivalent to a physical signature. To register a One Person Company, all applications to the Registrar of Companies (ROC) must be filed in a digital format and signed by the proposed director. The registration process begins with obtaining a DSC for both the shareholder and the director.
The RUN (Reserve Unique Name) application is an online process used to obtain ROC approval for the proposed company name. This web-based application allows for the submission of two name options, along with a note detailing the business activities and the significance of the chosen name.
Once the name approval is obtained, the next step is to file a formal application for the registration of the company using the SPICE form. This submission must include the Memorandum of Association (MOA), Articles of Association (AOA), proof of the registered address with the NOC from the landlord, and KYC documents for the promoters. The application must be signed using the promoters’ DSC and attested by a practicing Chartered Accountant, Cost Accountant, Company Secretary, or Advocate registered with the High Court. The government filing fee for incorporating a company depends on the proposed capital.
The final step in the OPC incorporation process involves the issuance of a certificate of incorporation after the ROC verifies the application filed in the SPICE form. This certificate serves as definitive proof of the company’s incorporation.
The PAN and TAN numbers are automatically generated during the registration of the company, so no separate application is required. Both numbers will be printed on the certificate of incorporation. Once the company registration is complete, an e-PAN and TAN letter will be sent via email.
